SynthStack Commercial License Agreement

Version: 1.0 Effective Date: January 2026 Licensor: Manic Inc.

License Grant

Subject to payment of the applicable License Fee and compliance with this Agreement, Manic Inc. ("Licensor") grants you ("Licensee") a non-exclusive, non-transferable, perpetual license to use SynthStack ("Software") for commercial purposes.

What You CAN Do

✅ Unlimited Commercial SaaS Products

  • Build and deploy unlimited SaaS applications in any industry
  • Sell subscriptions, charge users, generate revenue
  • No revenue sharing or ongoing fees to Licensor

✅ White-Label & Rebrand

  • Completely rebrand with your own name, logo, and colors
  • Remove all SynthStack branding and attribution
  • Customize and extend functionality as needed

✅ Client & Agency Work

  • Build custom SaaS products for clients
  • Charge clients for development and deployment
  • Use for unlimited client projects

✅ Self-Hosting & Deployment

  • Deploy on any infrastructure (AWS, Vercel, DigitalOcean, etc.)
  • Self-host on your own servers
  • No deployment restrictions

✅ Code Modifications

  • Modify, extend, and customize the source code
  • Add new features and integrations
  • Remove unwanted components

✅ Team & Multi-Developer Use

  • Share license within your company/team
  • Collaborate with developers on projects
  • Use in organizational settings

What You CANNOT Do

❌ Competing Boilerplate Products

You may NOT use the Software to create, distribute, or sell:

  • SaaS boilerplates, starter kits, or template marketplaces
  • Competing products marketed as "code generators" or "app builders"
  • Any product where the primary value is providing reusable code/templates

Examples of PROHIBITED use:

  • "FastShip Pro - Next.js SaaS Boilerplate" ❌
  • "LaunchKit - Vue Starter Template" ❌
  • "CodeBase Marketplace" ❌

Examples of ALLOWED use:

  • "TaskFlow - Project Management SaaS" ✅
  • "InvoiceHub - Billing Software" ✅
  • "ChatGenius - AI Customer Support" ✅

❌ Redistribution of Source Code

  • Cannot redistribute, resell, or publicly share the source code
  • Cannot publish SynthStack code to GitHub, NPM, or package registries
  • Cannot include in open source projects or code marketplaces

❌ Sub-Licensing

  • Cannot transfer, sublicense, rent, or lease this license
  • Cannot resell license access to third parties
  • License is personal/organizational use only

License Tiers & Pricing

Tier Price Users Projects
Lifetime Individual $297 one-time 1 developer Unlimited
Lifetime Team (5) $997 one-time 5 developers Unlimited
Lifetime Team (20) $2,997 one-time 20 developers Unlimited
Early Bird $149 one-time 1 developer Unlimited (first 500 only)

All tiers include:

  • Complete source code access
  • Lifetime updates and bug fixes
  • Priority support (Pro/Team tiers)
  • Commercial use rights
  • White-label rights

Subscription System Included

When you purchase a Commercial License, you receive:

  • Complete subscription billing code (Stripe integration)
  • Credit system and rate limiting
  • Customer portal and invoicing
  • You MAY offer subscriptions to YOUR end-users
  • You MAY charge YOUR customers for SaaS access

This is allowed because YOUR product is a SaaS application, not a competing boilerplate.

Updates & Support

Updates

  • Lifetime access to bug fixes and security patches
  • Major version upgrades included for first 12 months
  • Extended update access available via Support Plan

Support

  • Individual: Community support (Discord, GitHub Issues)
  • Pro: Email support with 48-hour response
  • Team: Priority support with 24-hour response + Slack channel

Termination

This license terminates automatically if you:

  1. Violate any restriction in "What You CANNOT Do"
  2. Fail to pay applicable fees
  3. Breach any material term of this Agreement

Upon termination:

  • Must cease all use of the Software
  • Must delete all copies of the source code
  • Existing deployed applications may continue running

Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE.

Governing Law

This Agreement is governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.
